{"id":6213,"date":"2019-07-02T10:32:05","date_gmt":"2019-07-02T15:32:05","guid":{"rendered":"http:\/\/blog.misumiusa.com\/?page_id=6213"},"modified":"2019-07-02T10:32:07","modified_gmt":"2019-07-02T15:32:07","slug":"misumi-university-program-terms-and-conditions","status":"publish","type":"page","link":"https:\/\/us.misumi-ec.com\/blog\/misumi-university-program-terms-and-conditions\/","title":{"rendered":"MISUMI UNIVERSITY PROGRAM TERMS AND CONDITIONS"},"content":{"rendered":"\n<h3>GENERAL REQUIREMENTS<\/h3>\n\n\n\n<p>These MISUMI University Program (\u201c<strong>MUP<\/strong>\u201d) Terms and\nConditions (\u201c<strong>Terms<\/strong>&#8220;) govern your conduct, your rights, and MISUMI\nUSA, Inc.\u2019s rights related to any Submissions or Project Information (as\ndefined below) you send related to the MUP offered by MISUMI USA, Inc. (along\nwith its affiliated companies, \u201c<strong>Misumi<\/strong>\u201d). <\/p>\n\n\n\n<p>When you submit any information to the Misumi related to the\nMUP (\u201c<strong>Submission<\/strong>\u201d), you agree to the following: <\/p>\n\n\n\n<ul><li>all Submissions are true and accurate; <\/li><li>employees, officers, and directors of Misumi and\nits parent, subsidiaries, affiliated companies, dealerships, and their\nimmediate families are not eligible; <\/li><li>you are a citizen or legal resident of the\nUnited States, District of Columbia, or Canada and are at least eighteen (18)\nyears of age; and <\/li><li>you are either an undergraduate or graduate\nlevel student of an accredited university, a professor or faculty member at an\naccredited university, or the representative of a student group at an\naccredited university (such as the American Society of Mechanical Engineers\n(ASME), the Society of Automotive Engineers (SAE), Robotics Club, First\nRobotics, Marine Advanced Technology Education (MATE), Rube Goldberg, or\nsimilar.) <\/li><\/ul>\n\n\n\n<p>&nbsp;All Submissions will\nbe handled in accordance with the MISUMI USA, Inc. Privacy Policy (available at\nhttps:\/\/us.misumi-ec.com\/contents\/privacy\/). <\/p>\n\n\n\n<p><strong>NO PURCHASE NECESSARY. A PURCHASE OR PAYMENT WILL NOT\nINCREASE YOUR LIKELIHOOD OF SPONSORSHIP. <\/strong><\/p>\n\n\n\n<h3>SUBMISSION GUIDELINES<\/h3>\n\n\n\n<p>Eligible participants should submit their Submission for\nconsideration of sponsorship under the MUP in compliance with these Terms and\nall applicable laws. Submitting a Submission constitutes the participants\u2019 full\nand unconditional agreement with these Terms and Misumi\u2019s decisions, which are\nfinal and binding in all matters relating to the MUP.<\/p>\n\n\n\n<p>The Submission period is open from August 1<sup>st<\/sup>,\n2019 to November 1<sup>st<\/sup>, 2019 (\u201c<strong>Submission Period<\/strong>\u201d).&nbsp; All Submissions must be received by Misumi during\nthe Submission Period. Misumi\u2019s time clock will be the official time clock of\nthe MUP. <\/p>\n\n\n\n<p>Submissions should be sent via the method(s) set forth on\nthe MUP webpage. Failure to send a complete Submission, follow the\nrequirements, or send the Submission via the methods set forth on the MUP\nwebpage may cause your entry to be disqualified at Misumi\u2019s sole discretion. <\/p>\n\n\n\n<h3>MUP Program<\/h3>\n\n\n\n<p>After the end of the Submission Period, Misumi\nrepresentatives will review all eligible Submissions and, in Misumi\u2019s sole\ndiscretion, select some, none, or all of the Submissions to receive support\nand\/or sponsorship from Misumi, including but not limited to discounts, free\nMisumi products, gift cards, and related sponsorship. Misumi is not bound to\noffer any sponsorship or to limit sponsorship to a specific type of\nsponsorship. Misumi is not bound to continue to sponsor any project and may\ncancel or change its sponsorship at any time for any reason without notice.\nMisumi reserves the right to disqualify any entrant or sponsorship recipient at\nany time for any reason. <\/p>\n\n\n\n<p>Entrants should have a justifiable reason for using Misumi\nproducts. Creativity is encouraged. Any purchase of Misumi products, regardless\nof whether such purchase is sponsored by Misumi, is governed by the Misumi\nterms of sale at <a href=\"https:\/\/us.misumi-ec.com\/contents\/terms\/\">https:\/\/us.misumi-ec.com\/contents\/terms\/<\/a>.\n<\/p>\n\n\n\n<p>Misumi may change, terminate, suspend, cancel, or modify the\nMUP and\/or these Terms at any time for any reason. <\/p>\n\n\n\n<p>If Misumi chooses to sponsor you based on your Submission,\nMisumi requests, but does not require, that you keep in contact with Misumi to\nshare information such as images, designs, photographs, rankings, and similar\ninformation related to your project (\u201c<strong>Project Information<\/strong>\u201c) with Misumi.\nBy submitting information to Misumi, you agree that Project Information is\nsubject to these Terms.<\/p>\n\n\n\n<h3>GRANT OF RIGHTS and RELEASE<\/h3>\n\n\n\n<p>You agree that you shall not send any Submission or Project\nInformation that includes or references any of the following:<\/p>\n\n\n\n<ul><li>information known by you to be false,\ninaccurate, or misleading;<\/li><li>content which infringes any third party&#8217;s\ncopyright, patent, trademark, trade secret, right of publicity, right of\nprivacy, moral rights, and\/or any other applicable personal or proprietary\nrights;<\/li><li>content which violates any law, statute,\nordinance, or regulation;<\/li><li>content in which you impersonate another person\nor entity; or<\/li><li>content containing any computer viruses, worms,\nharmful code, bad links, or other potentially damaging computer programs or\nfiles.<\/li><\/ul>\n\n\n\n<p>You acknowledge that you, not Misumi, are responsible for\nthe contents of any Submission or Project Information. By uploading a\nSubmission or Project Information, you agree that you have all the rights to\nsubmit the Submission or Project Information to Misumi.&nbsp; No Submission or Project Information shall be\nsubject to any obligation of confidentiality on the part of Misumi, its\nthird-party service providers and agents, or their respective directors,\nofficers, and employees. You shall be solely liable for any damages resulting\nfrom any breach by you of this agreement or from any harm resulting from your Submission\nor Project Information. By submitting your email address in connection with\nyour Submission or Project Information, you agree that Misumi may use your\nemail address to contact you about the status of your Submission or Project\nInformation and other administrative or marketing purposes.<\/p>\n\n\n\n<p>In exchange for consideration for participation in the MUP,\nthe sufficiency of which you acknowledge, you grant each to Misumi a\nnon-exclusive, worldwide, perpetual, irrevocable, fully paid-up, royalty-free,\nfully sublicensable and transferable right and license to use, reproduce,\nmodify, adapt, publish, translate, create derivative works from, distribute,\ntransmit, display, and perform such Submission(s) and Project Information,\nincluding your name, image, nickname, username, job title, biographical\ninformation, employment information, or any other indicia of your right of\npublicity rights, in whole or in part, in any form of media, and in any manner\nincluding, but not limited to, all promotional, advertising, marketing,\npublicity, and commercial uses and ancillary uses thereof, without any further\nnotice or payment to or permission needed from you (except where prohibited by\nlaw.) Misumi will have no obligation to post or use any Submission(s) or\nProject Information or to notify you on the use of any Submission or Project\nInformation.<\/p>\n\n\n\n<p>By submitting a Submission and\/or Project Information, you\nagree to release, hold harmless and indemnify Misumi and each of its respective\naffiliates, officers, directors and employees from and against any and all\nclaims, suits, actions, demands, liabilities and damages of any kind whatsoever\narising out of or in connection with the use of such Submission or Project\nInformation, including, without limitation, any and all claims for copyright\ninfringement, invasion of privacy, violation of the right of publicity or of\nmoral rights, or defamation. Without limiting the foregoing, in no event will you\nbe entitled to, and you waive any right to, enjoin, restrain, or interfere with\nuse of the Submission or Misumi\u2019s use of its rights under these Terms. You\nunderstand that Misumi is relying upon your representations, grants of rights,\nwaivers, and releases in permitting you to submit a Submission and\/or Project\nInformation. You acknowledge that you may not terminate or rescind the grants\nof rights and licenses and\/or the releases contained in this Terms.<\/p>\n\n\n\n<h3>CHOICE OF LAW, VENUE, AND JURISDICTION<\/h3>\n\n\n\n<p>These Terms shall be governed with the substantive laws of\nthe State of Illinois without regard to its choice of law provisions. You agree\nthat any disputes directly or indirectly arising out of or relating to this\nTerms shall be resolved exclusively in the federal courts located in Cook\nCounty, Illinois. You hereby irrevocably consent to such venue and to the\nexclusive jurisdiction of any such court over any such dispute.<\/p>\n\n\n\n<p>If any provision of these Terms is determined to be invalid\nby a court of competent jurisdiction, such determination shall in no way affect\nthe validity or enforceability of any other provision. These Terms set forth\nthe entire agreement of the parties with respect to your Submission(s) and may\nnot be changed except by an instrument in writing signed by both parties.
